General Terms and Conditions (GTS) of Insertfilm Ltd.
1. Services provided by the production company
Insertfilm AG undertakes to deliver the services specified in the offer on time. In the event of additional expenses, delays caused by third parties or events beyond the control of the contractor, the contractor shall not be liable for late delivery.
2. Offer / Additional costs
The services provided by the agents are generally determined by the content of the written offer. For any additional work requested by the client that goes beyond this, the parties shall agree on additional compensation in writing.
3. Copyrights
All rights to the entire image, sound and text material created during production, including the end product, remain with Insertfilm AG and may be used by the latter for advertising and acquisition purposes. The end product may be used by the customer within the scope of the purpose specified in the offer.
For secondary or multiple use and further processing of the product or individual parts thereof, the client must obtain the express written consent of Insertfilm AG and, if necessary, provide appropriate compensation.
In particular, any further transfer of the end product or parts thereof without the consent of Insertfilm AG is expressly prohibited.
4. Third-party copyright
Insertfilm AG shall disclose any image and audio material from third parties used in the product, insofar as the copyright holders are known to it. Any compensation owed for third-party copyrights is expressly not included in Insertfilm AG’s remuneration and must be paid separately to the third parties by the client.
The settlement of third-party copyrights shall in all cases be understood as additional costs for the client that are not included in the quotation.
If Insertfilm AG has paid compensation for third-party copyrights, the client shall reimburse Insertfilm AG for the corresponding costs.
5. Delivery of data
If content provided by the client (image, audio and text material) is to be incorporated into the product, it must be delivered to Insertfilm AG in a readable format and in good time to ensure that the order can be processed on schedule. The client must ensure that the use of the delivered material does not infringe the rights of third parties. Insertfilm AG shall in no event be liable for delays or the impossibility of further use of the agreed service as a result of infringed rights of third parties. Compensation for the services provided by Insertfilm AG shall nevertheless be payable in full.
When processing this content, Insertfilm AG assumes that it has the authorisation to do so and that no third-party rights are infringed.
6. Legal basis
In principle, the provisions of the Swiss Code of Obligations in Art. 394 ff. regarding simple contracts apply. The place of jurisdiction is the registered office of Insertfilm AG.
Terms and conditions (for orders)
By submitting an order, the customer expressly agrees to these terms and conditions.
All orders are binding. Delivery times are non-binding. You will be informed by email in the event of a delay in delivery. If the delivery has not yet been dispatched, you have the option of cancelling it.
Products can be ordered directly by email or post.
Delivery
We deliver excluding shipping costs/VAT and on account.
Deliveries are made to end customers only. We reserve the right to impose quantity restrictions.
If one of the items you have ordered is not in stock, this will not affect the delivery of the other items.
Missing items will be delivered to you as soon as possible.
Prices
The price listed on our website at the time of your order will be charged.
Shipping costs will be added.
Delays in delivery will never result in a price reduction.
invoicing
One invoice is issued per shipment.
Value added tax is shown on the invoice.
payment deadline
Invoices are payable within 10 days net.
rights of use
All titles offered are intended for your private, non-commercial use only.
Any other use constitutes a violation of copyright law.
The production of copies for the purpose of sale, commercial rental, public broadcasting or distribution or transfer to third parties is prohibited.
Data protection
The data necessary for business transactions will be stored.
All personal data will be treated confidentially.
Liability
Insertfilm AG excludes any liability for the delivered/sold products to the extent permitted by law.
Applicable law, place of jurisdiction
The legal relationships are governed by Swiss law. The exclusive place of jurisdiction for all disputes is Solothurn.
